Canterbury Board of Directors

CANTERBURY HOA PURPOSE

The Canterbury Home Owners Association is established solely for the purpose of protecting the investment that each member of the neighborhood has made in their homes and to promote togetherness and community.   The Canterbury Board of Directors is committed to this purpose.

BOARD OF DIRECTORS
ROLES & RESPONSIBILITIES

PRESIDENT

Term Length:  2 years

What The Bylaws Say....

The President shall be the principle executive officer of the corporation and, subject to the Board of Directors, shall in general supervise and control all of the business and affairs of the corporation.  
 

 - He shall preside at all meetings of the members and of the Board of Directors.

 - He shall sign, with the secretary, or any other proper officer of the corporation authorized by the Board of Directors, any deeds, mortgages, bonds, contracts or other instruments which the general memberships or Board of Directors have authorized to be executed, except in cases where the signing and execution thereof shall be expressly delegated by the Board of Directors or by the Bylaws or by statute to some other office or agent of the corporation; and

 - In general, he shall perform all duties as may be prescribed by the Board of Directors from time to time.  Any deed, mortgage, bond, contract or similar instrument must first be approved by the Board of Directors.

In Other Words...

Unless it is worked out among the other members of the Board of Directors, the President has the final say on most activities.

Board meetings are held monthly.   However, there may be decisions to conduct special meetings as the Board desires.

​

The President drives the board meetings, calls for vote on items requiring Board approvals (eg new contracts, expenditures, strategies, etc)

​

The President must sign all binding documents for the HOA unless otherwise arranged.   It doesn't mean the President must be the primary negotiator on a contract, but must be the final signature.

​

Typically, the President is the "Front man" for the HOA.   While it may be negotiated with each Board differently, the President is the often the one to settle differences among members, among Board officers or between the two.   There are some exceptions, such as the ARC settles all member issues for home projects, etc.

VICE-PRESIDENT

What The Bylaws Say....

In the absence of the President or in the event of his inability or refusal to act, the Vice-President (or in the event there be more than one-Vice-Presidents in the order of their rank) shall perform the duties of the President, and when so acting, shall have all the powers of and be subject to all the restrictions upon the President. 

 

Any Vice-President shall perform such other duties as from time to time may be assigned to him by the President or by the Board of Directors.

In Other Words...

There's not a lot of specific duties that are formally assigned to the Vice-President other than be a back-up or replacement to the President if necessary.

So, really, this role is as active or involved as the person holding this position desires or as the Board of Directors envisions.

​

The Vice-President must attend all monthly Board meetings or any other official HOA meeting.

​

The current Vice-President was active in the Canterbury pool renovation activities as well as being active in several grounds improvement initiatives.

TREASURER

Term Length:  2 years

What The Bylaws Say....

If required by the Board of Directors, the treasurer shall give a bond for the faithful discharge of his duties in such sum and with such surety or sureties as the Board of Directors shall determine.

 - He/She shall have charge and custody of and be responsible for all funds and securities of the corporation; 

 - He/She shall receive and give receipts for moneys due and payable to the corporation from any source whatsoever

 - He/She shall deposit all such moneys in the name of the corporation in such banks, trust companies, or other depositories as shall be selected in accordance with the provisions of these Bylaws.

 - In general, he/she shall perform all duties incident to the office of Treasurer and such other duties as from time to time may be assigned to  him by the President or by the Board of Directors, and pay and discharge moneys at the direction of the Board.

The Treasurer is responsible for managing all of the HOA's money.  That includes making sure all deposits and expenditures are correctly itemized and documented.

The Treasurer must ensure all bills are paid on time and all dues or other payables to the HOA are collected.

​

The Treasurer must attend the monthly Board meetings or any other specially scheduled HOA meetings.

​

The Treasurer is generally the one to interact with realtors inquiring about the HOA and will likely be the first to receive notification of new homeowners in the neighborhood and is, therefore, the trigger to notify the Secretary of the need to send the welcome packet to them.

​

The Treasurer also measures the Board against the budget and publishes this information to the Board and any inquiring members.

SECRETARY

Term Length:  2 years

What The Bylaws Say....

The Secretary shall keep the minutes of the meetings of the members and of the Board of Directors in one or more books provided for that purpose

 - He/She shall see that all notices are duly given, in accordance with provisions of these Bylaws or as required by law

 - He/She shall be custodian of the corporate records and the seal of the corporation and see that the seal of the corporation is affixed to all documents, the execution of which on behalf of the corporation under its seal is duly authorized in accordance with the provisions of these Bylaws.

 - He/She shall keep a register of the post office address of each member which shall be furnished to the Secretary by such member.

 - And, in general, he/she shall perform all duties incident to the office of Secretary and such other duties as from time to time may be assigned to him by the President or by the Board of Directors.

In Other Words...

The Secretary is the official recorder of all activities that the Board of Directors take or any official event within the HOA.

​

The Secretary is also the primary communicator between the Board of Directors and the members.   Communications are managed a blog messages on the HOA website, eMail distributions, Facebook or other social media outlets.

​

The Secretary also keeps track of all members of the HOA and their necessary information.   While the HOA website allows many members to do that themselves (making it easy on the Secretary), not all members are signed up on the website.

​

The Secretary must attend all monthly Board meetings or any other special HOA meetings.

​

The Secretary must maintain all local, state and federal status and documents

​

Finally, the Secretary can do other things too, depending on his/her desire as well as direction from the Board.

MEMBER AT LARGE

What The Bylaws Say....

The Bylaws do not officially list this role.

​

However, the Board of Directors can designate other persons to join the Board as a committee lead or head of special projects, etc.

In Other Words...

The Current Board of Directors has assigned the Member At-Large to lead the Architectural Review Committee (ARC) and all the operations within it.

​

The current Member At-Large leads a team of HOA members on the  ARC to review all home improvement activities in the neighborhood.

​

The Member At-Large has the current responsibility and authority to make decisions and conduct business as is allowed to the ARC within the HOA Covenant.

​

The Board of Directors has granted the Member At-Large position to have voting rights in all Board decisions.

​

The Member At-Large does not have a specific term of service and can operate in this capacity as long as mutually agreed with the Board.
